    Official Rules and Regulations

    YOUNG DOLPH “RICH SLAVE” SWEEPSTAKES

    NO PURCHASE NECESSARY. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.

    Open only to legal residents of the 48 contiguous United States or Washington, DC, who are 16 years of age or older.* Void in Alaska, Hawaii, Puerto Rico (and all other U.S. Territories) as well as where prohibited by law.

    *If not of legal age of majority in your jurisdiction of residence (generally, 18 years of age), be sure to obtain your parent or legal guardian’s permission BEFORE entering the Sweepstakes.

    Sponsored by: Paper Route Empire LLC (“PRE”) in association with EMPIRE Distribution, Inc., 235 Pine Street, San Francisco, CA 94104 (“EMPIRE”).  PRE and EMPIRE may collectively be referred to as “Sponsor.”

    1.Sweepstakes Period.  July 31, 2020 at 12:00:00 a.m. (midnight) Pacific Standard Time (PST) – August 20, 2020 at 11:59:59 p.m. PST.

    2. Eligibility.

    The following persons are NOT eligible to enter the Sweepstakes or win the prize:

    (a) Employees, officers or directors of EMPIRE or PRE, their subsidiaries, divisions, affiliates as well as any other entities involved in developing or offering this Sweepstakes or the production/distribution/marketing of Young Dolph’s album “Rich Slave” (“Sponsor Entities”);
    (b) The immediate family (defined as spouses, domestic partners, siblings, parents, children, grandparents, and grandchildren, whether as “in-laws,” or by current or past marriage(s), remarriage(s), adoption, co-habitation or other family extension) and other persons residing at the same household whether or not related of any such employee/officer/director; and
    (c) Young Dolph (a.k.a. Adolph Thornton, Jr.), his immediate family (as defined above) and other persons residing in Young Dolph’s household whether or not related

     

    3. How To Enter.

    (a) During the Sweepstakes Period, go to https://store.youngdolph.com (“Website”).
     
    (i) When you pre-order Young Dolph’s upcoming album release “Rich Slave” on the Website (with or without accompanying merchandise), you will be automatically entered once in the random drawing.
     
    (ii) Alternatively, you may enter without album pre-order by completing the entry form on the website including your name, city/state, and e-mail address and submitting same as prompted.

     

    (b) Privacy. Personal information collected from entrants will only be used by Sponsor for purposes of Sweepstakes administration (and, for persons who enter by pre-ordering “Rich Slave” for purposes of processing the purchase transaction.) Before entering the Sweepstakes, you are strongly advised to review EMPIRE’s Privacy Policy accessible at https://www.empi.re/docs/privacy_policy.htmlIf you are a minor in your jurisdiction of residence, you are strongly advised to have your parent or legal guardian review EMPIRE’s Privacy Policy.

     

    4. Restrictions on Entry.

     

    (a) For “Rich Slave” pre-order:

     

    (i) No entry will be received under any of the following circumstances:

    • purchase is rejected by Website for any reason (for example, unauthorized credit or debit card transaction);
    • after initial submission, consumer rescinds purchase (with payment for same being refunded);
    • pre-order is made on a website/platform other than Website;
    • pre-order is made at any time other than during the Sweepstakes Period.

    (ii) coupons or discounts, whether issued by EMPIRE or any other entity, cannot be used in conjunction with pre-order purchase.

    (iii) Should the release date of “Rich Slave” be postponed/delayed, this will not affect one’s entry in the Sweepstakes via album pre-order.

     

    (b) In General:

     

    (i) By participating, entrants (if entrant is a minor in his/her jurisdiction of residence, his/her parent or legal guardian) accept and agree to abide by and be bound by these Official Rules and the decisions of Sponsor, which are final and binding in all respects and not subject to appeal.
     
    (ii) There is a limit of four (4) entries per person regardless of entry method(s) utilized.
     
    (iii) Any dispute as to the identity of entrant will be resolved by Sponsor in its sole discretion. In such determination, Sponsor may take account the following (as applicable): the registered owner of the credit card/debit card provided for pre-order and/or the registered owner of the e-mail address provided.
     
    (iv) Proof of submission of pre-order or entry form does not constitute receipt of same or proof of entry.
     
    (v) Except for proof of completion of pre-order transaction, Sponsor will not acknowledge receipt of entries. Such proof of pre-order transaction is not otherwise binding upon Sponsor.
     
    (vi) Use of automated, robotic or programmed means of entry and third- party entry subscription services/newsletters to enter the Sweepstakes is prohibited.
     
    (vii) Accessing the Website and entering the Sweepstakes via mobile device may result in the imposition of wireless Internet access fees and/or other charges as per the wireless carrier’s billing policy. You are advised to review such billing policy BEFORE entering the Sweepstakes. (If you are a minor in your jurisdiction of residence, your parent or legal guardian should review the wireless carrier’s billing policy prior to submission of your Sweepstakes entry.) Wireless Internet access is not available in all areas or on all mobile devices.

     

    5. Winner Selection & Notification.

     

    (a) The potential winner will be selected in a random drawing from among all eligible entries received. The drawing will be conducted by Sponsor on or about September 4, 2020.
     
    (b) The potential winner will be notified by phone and/or e-mail, with Sponsor determining the method(s) of notification in its sole discretion.
     
    (c) The potential winner (if potential winner is a minor in his/her jurisdiction of residence, his/her parent or legal guardian) must complete, sign and return an Affidavit of Eligibility, a Liability Release and a Publicity Release (where legal) (“Affidavit/Release”) within five (5) business days of date of prize notification. The Affidavit/Release may include potential winner’s consent to a background check on potential winner so as to establish that award of the Prize to him/her will not adversely affect the business reputation or goodwill of EMPIRE, PRE, and/or Young Dolph. (If potential winner is a minor in his/her jurisdiction of residence, the Affidavit/Release may require the potential winner’s parent or legal guardian to consent to a background check on potential winner as well as him/herself personally.) If applicable, potential winner (if potential winner is a minor in his/her jurisdiction of residence, his/her parent or legal guardian on behalf of potential winner as well as him/herself personally)  agrees to cooperate fully in the conduct of such background check by providing any information and additional consents that may be required in Sponsor’s sole discretion. Potential winner (if potential winner is a minor in his/her jurisdiction of residence, his/her parent or legal guardian) further understands and agrees that, based on Sponsor’s construction of the results of the background check on potential winner (and, if potential winner is a minor in his/her jurisdiction of residence, its construction of the background check[s] on potential winner and/or his/her parent or legal guardian), Sponsor may withhold the Prize from potential winner (if potential winner is a minor in his/her jurisdiction of residence, from his/her parent or legal guardian, as discussed below) even if potential winner is otherwise eligible and in full compliance with these Official Rules, notwithstanding subsection (d) below, in which case Sponsor, Sponsor’s Entities and Young Dolph will not have any liability to potential winner (if potential winner is a minor in his/her jurisdiction of residence, and/or to his/her parent or legal guardian) under any legal theory.  

     

    (d) The prize will be forfeited without compensation in the event of any of the following:

     

    (i) Potential winner does not timely complete, sign and return the Affidavit/Release;
    (ii) Potential winner cannot be contacted for any reason despite Sponsor’s commercially reasonable efforts to do so (by way of example only, potential winner’s e-mail service provider categorizes Sponsor’s winner notification e-mail as “Junk” or SPAM, if applicable);
    (iii) if Sponsor determines that the potential winner is ineligible as per Section 2 above or potential winner has otherwise in violated these Official Rules.

     

    (e) Should the prize be forfeited, Sponsor will select an alternate potential winner selected from among all remaining eligible entries received for the random drawing.

     

    6. Prize/Odds of Winning.

     

    (a) Prize (1) –Young Dolph’s 2018 Lamborghini® Aventador® Roadster** (“Vehicle”) [Approximate Retail Value: $412,000] plus $20,000 (awarded as a check). Prize also includes a check for 25% of the Approximate Retail Value of Vehicle (that is, $103,000). Total Approximate Retail Value of Prize: $535,000.

    **Trademarks are used for purposes of prize identification only. No sponsorship, endorsement, authorization or affiliation of any kind is intended or implied by such use.

    (b) Odds of winning the prize depend on the total number of eligible entries received.

     

    6. Restrictions on Prize.

     

    (a) If potential winner is a minor in his/her jurisdiction of residence, Sponsor may in its sole discretion award the Prize to his/her parent or legal guardian on his/her behalf or in the name of his/her parent or legal guardian.
     
    (b) Winner (if winner is a minor in his/her jurisdiction of residence, his/her parent or legal guardian) understands and agrees that:
     
    (i) the Vehicle is USED, must be accepted AS IS and, as such, is subject to normal wear-and-tear and depreciation;
     
    (ii) the Vehicle has been customized and otherwise adapted from the model number sold by the manufacturer to consumers in the normal course of business;
     
    (iii) the Vehicle may not be awarded with a certificate of authenticity as to Young Dolph’s previous ownership of same.

     

    (b) Winner is solely responsible for any and all costs related to acceptance and use of the Prize. The preceding includes but is not limited to

    (i) Vehicle registration, license, title and insurance fees;
     
    (ii) upgrades and options not provided with Vehicle;
     
    (iii) any expenses in owning and operating the Vehicle (such as, gasoline and necessary maintenance);

     

    (iv) other costs incurred by winner in claiming the Vehicle.

    (c) Winner is also solely responsible for all taxes on the Prize.
     
    (i) While the check for $103,000 is intended by Sponsor to be used to defray taxes incurred in conjunction with prize acceptance, Sponsor makes no representation or warranty that the $103,000 will be sufficient to satisfy the attendant tax obligations. To the extent that taxes incurred by prize acceptance exceed $103,000, winner will be solely responsible for same.
    (ii) Winner (if winner is a minor in his/her jurisdiction of residence, his/her parent or legal guardian) understands and agrees that, as per applicable law, Sponsor is required to report winner’s receipt of the Prize (and the total fair market value of the Prize) to applicable government authorities, including the Internal Revenue Service via IRS 1099 Tax Form; and, to this end, winner (if winner is a minor in his/her jurisdiction of residence, his/her parent or legal guardian) agrees to fully cooperate with Sponsor including by providing his/her Social Security Number upon request via IRS W9 Tax Form.

      

    (d) The Vehicle will be awarded to winner at his/her residence in the 48 contiguous United States or Washington, DC approximately 4 – 8 weeks after Sponsor’s verification of winner’s eligibility and full compliance with these Official Rules (including the Affidavit/Release requirement as per Sections 5c, 5d above).  If winner cannot accept the Vehicle at such time for any reason, the Prize may be forfeited without compensation of any kind and an alternate potential winner selected as set forth above.
     
    (e) For winner (if winner is a minor in his/her jurisdiction of residence, his/her parent or legal guardian, if applicable) to take possession of the Vehicle, a valid U.S. driver's license (from one of the 48 contiguous United States or Washington, DC) and evidence of insurance are required. Winner (if winner is a minor in his/her jurisdiction of residence, his/her parent or legal guardian, if applicable) understands and agrees that operation of a motor vehicle involves certain inherent risks and dangers as well as being subject to applicable laws and regulations.
     
     
    (f) The Vehicle awarded may differ from Vehicle shown in promotional/advertising materials with Sponsor, Sponsor Entities and Young Dolph disclaiming any and all liability in conjunction therewith.
     
    (g) TO THE FULLEST EXTENT PERMITTED BY LAW, THE VEHICLE IS AWARDED “AS IS” AND EMPIRE, PRE, SPONSOR ENTITIES AND YOUNG DOLPH MAKE NO REPRESENTATION OR WARRANTY OF ANY KIND (INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR THE INTENDED PURPOSE) AS TO THE VEHICLE.
     
    (h) No prize substitution except by Sponsor in its sole discretion if the Vehicle is unavailable for any reason, and only then for prize of comparable value. The Vehicle is not redeemable or exchangeable for cash; nor is prize (including Vehicle) transferable within one (1) year of prize award without the prior written consent of Sponsor which may be withheld or granted at its sole discretion and without liability of any kind.
     
    7. Conditions of Participation.
    (a) In the event of any inconsistency between these Official Rules and the content of any Sweepstakes promotional/advertising materials, these Official Rules shall prevail, govern and control.
     
    (b) Sponsor’s failure to enforce any provision of these Official Rules on a given occasion will not constitute the waiver of such provision.
     
    (c) By participating, entrant (if entrant is a minor in his/her jurisdiction of residence, his/her parent or legal guardian) indemnifies, releases and agrees to hold harmless EMPIRE, PRE, and Sponsor Entities; the directors, officers, agents, representatives, shareholders, employees, successors and assigns of any of the above organizations; Young Dolph personally; and Facebook, Inc./Instagram from any and all liability arising from participating in the Sweepstakes, any Sweepstakes-related activity and/or the acceptance, receipt, possession or use/misuse of the prize (if applicable).
     
    (d) To the fullest extent permitted by law, acceptance of prize constitutes the winner’s (if winner is a minor in his/her jurisdiction of residence, his/her parent or legal guardian’s) agreement to the use of winner’s name, address (city, state), likeness, character, photograph, other indicia of persona and/or statements made by winner regarding the Prize, the Sweepstakes, EMPIRE, PRE, or Young Dolph for advertising/publicity/trade purposes by EMPIRE and its designees (including PRE and Young Dolph) without further compensation or review, approval or notice of any kind. The preceding may include in Sponsor’s sole discretion the winner participating in media interviews and promotional activities at Sponsor’s reasonable request. Nothing herein, however, in any way obligates EMPIRE or its designees (including PRE and Young Dolph) to use winner for advertising/publicity/trade purposes; and, by refraining from doing so, EMPIRE and its designees (including PRE and Young Dolph) shall not incur any liability under any legal theory.
     
    (e) CAUTION: ANY ATTEMPT TO TAMPER WITH OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES, TO DEFRAUD SPONSOR AS TO THE CONDUCT OF THE SWEEPSTAKES (INCLUDING THE PRE-ORDER OF YOUNG DOLPH’S “RICH SLAVE” ALBUM) CONSTITUTES TAMPERING IN VIOLATION OF THESE OFFICIAL RULES AS WELL AS A VIOLATION OF CIVIL AND/OR CRIMINAL LAW. IN SUCH CASE, SPONSOR MAY SEEK ANY AND ALL AVAILABLE LEGAL REMEDIES AGAINST PERSONS DETERMINED TO BE ENGAGED IN SUCH CONDUCT AS WELL AS DISQUALIFYING THEM FROM THE SWEEPSTAKES (IF APPLICABLE.)
     

    8. Limitations of Liability.

    (a) EMPIRE, PRE, Sponsor Entities and Young Dolph assume no responsibility for
     
    (i) any incomplete, incorrect or inaccurate information whether caused by tampering, hacking or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error of any kind;

    (ii) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of the Website, purchase transactions wherein persons pre-order the “Rich Slave” album (with or without accompanying merchandise), or alternate (i.e., non-pre-order) entries;  

    (iii) any problems or technical malfunctions of any telephone network or lines, computer on-line-systems, servers or providers, computer equipment, software, programming or failure of electronic transmissions on account of technical problems or traffic congestion on the Internet affecting the Website, pre-order purchase transactions, or alternate (i.e., non-pre-order) entries;
     
    (iv) late, lost, illegible/garbled, inaccessible, incomplete, damaged, misdirected, corrupted, jumbled, improperly recorded or unrecorded pre-order purchase transaction data and/or alternate (non-pre-order) entries, regardless of cause, all of which are void;
     
    (v) any damage to entrant’s or any third party’s computer (or the data stored thereon) caused directly or indirectly in whole or in part by participation/attempted participation in the Sweepstakes.

     

    (b) Force Majeure.If, for any reason, the Sweepstakes (or any part thereof) is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, fire, flood, storm or other natural cataclysm, epidemic/pandemic, riot, strike, civil commotion, governmental regulation or any other causes beyond the control of Sponsor which, in its sole opinion, corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes (or any part thereof), Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes and conduct the Sweepstakes and select the prize winner from among all eligible entries received prior to and/or after (as appropriate) the action taken by Sponsor or otherwise in a manner which is fair, equitable and in accordance with these Official Rules, as determined by Sponsor in its sole discretion.  Notice of such action by Sponsor will be posted by Sponsor on the Website.

     

    (c) This promotion is in no way sponsored, endorsed or administered by, or associated with Facebook or Instagram.

     

     

    9. DISPUTE RESOLUTION/GOVERNING LAW.

    To the fullest extent permitted by law, by participating in the Sweepstakes, you (if you are a minor in your jurisdiction of residence, your parent or legal guardian) agree:

    (a) that any action at law or in equity arising out of or relating to these Official Rules or this Sweepstakes shall be filed exclusively in the U.S. District Court for the Northern District of California in San Francisco, California or California State Court situate in San Francisco, California;
    (b) to the personal and exclusive jurisdiction of such courts for the purposes of litigating any such action, waiving any right of change of venue, forum non conveniensor the like;
    (c) that any such action shall be resolved individually, NOT as part of a class action;
    (d) that any claims/judgments/awards shall be limited to actual out-of-pocket costs incurred (if any), with all other forms of damages, remedies and relief being expressly waived, and under no circumstances will you (if you are a minor in your jurisdiction of residence, your parent or legal guardian) be awarded attorneys’ fees; and
    (e)these Official Rules and this Sweepstakes shall be governed by the laws of the State of California as to contracts being made and performed therein without regard to the choice of law/conflict of law principles.

      

    10. Winner’s List. For the name of the winner (first name, last initial; city/state), send a self-addressed, stamped envelope to: EMPIRE. ATTN: Young Dolph Rich Slave Sweepstakes Winner at the address above. Requests must be received by September 18, 2020. Winner’s list will be available after October 1, 2020.
